Temario:
Corporate Law, Governance and International Taxation
Surveys the basic forms of doing business in the United States, stressing the identification of and solutions to problems
faced by businesses. Examines the rules and practices governing formation of business entities, investment in entities,
powers and duties of owners and managers, and distributions to owners. Also studies alterations to the entity, through
mergers and acquisitions, takeovers, and changes in control. Special attention is paid to standards of corporate governance
as expressed in statutes, judicial decisions, government regulation, stock-exchange regulations and other sources. Includes
consideration of international taxation issues concerning non-American companies doing business in the United States,
and how international tax law governs investments going into and out of the United States. This course also analyzes
different corporate law approaches in the European Market and compares them with US practice.
Intellectual Property Law
Covers the principles of Anglo-American intellectual property law, including trade secrets, copyrights, trademarks and
patents. Emphasizing practical applications of the law, the course also explores the commercial consequences of contracts
for ownership of new developments, business practices, and intellectual property licensing.
Litigation and Alternative Dispute Resolution
Examines the procedural aspects of American dispute resolution, in and out of court. Particular attention paid to litigation
aspects of potential importance to foreign business firms, such as class action procedures, discovery rules and jurisdiction
over foreign companies. Studies the use of contractual alternatives to litigation, such as mediation and arbitration.
Introduction to Anglo-American Law
Introduces fundamental aspects of the common-law legal system and its approach to the major practice areas of interest
to transnational lawyers. Considers sources of the common law and the roles of case law, statute and equity, as well as
aspects of litigation, contracts, torts and business organizations.
Antitrust and Competition Law
Examines the structure of American antitrust law as applied to various sorts of business contracts and practices. Analyzes
the different legal rules that govern such things as horizontal and vertical contracts, monopolization, tying and mergers.
Also compares American antitrust law with the standards applied under EU competition law, its principles and substantive
rules.
Contract Law
Addresses American legal concepts governing the formation and enforcement of contracts. Studies common law concepts
including consideration, severability, waiver, and nullity, plus various aspects of contract remedies (e.g., damages and
specific performance). Also studies the Uniform Commercial Code rules pertaining to sales, negotiable instruments and
secured transactions.
Business School
Marketing
Principles of marketing management and marketing strategy, with emphasis on the unique aspects of professional
services. Principles of marketing management include identification of the target market, segmentation and targeting
of customers, as well as positioning and differentiation of the market offering. Students are also provided with an
overview of the marketing strategy planning process, beginning with analysis of the 4 C’s (customers, competitors,
company, and context) and composed of the 4 P’s (product, price, place, and promotion).
Negotiation
The “art of negotiation” as an effective tool throughout students’ professional careers and personal lives. On completion
of the course, students will understand the keys to all negotiation processes: how to prepare for negotiations, how to
achieve objectives more effectively, and how to make agreements that are later performed. Particular attention will also
be paid to the effect of communication on the negotiation process.
